These Terms of Service ("Terms") govern your access to and use of the Wareflow web application, the Wareflow mobile applications and any related services (together, the "Service") provided by Bypenth Technologies Limited ("Wareflow", "we", "us" or "our"). By creating an account or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.
You must provide accurate information when you register and keep it up to date. You are responsible for safeguarding your password and for all activity that occurs under your account, including activity by team members you invite. Notify us immediately at support@wareflowapp.com if you suspect unauthorised use of your account. You must be at least 18 years old, or the age of majority where you live, to use the Service.
Every new business starts on a free tier with limited allowances. Paid plans (Basic, Business and Premium) raise those allowances, and the online storefront is included only on Premium. The current plans, limits and prices are on our Pricing page and in your dashboard under Plan & billing. Prices are charged in Nigerian naira to businesses in Nigeria and in US dollars to businesses elsewhere.
Paid plans are paid in advance, for one month or one year at a time, through Flutterwave. There is no free trial of a paid plan. Plans do not renew automatically and we do not charge you without your action: we send a reminder before a paid period ends and you renew from the dashboard. If a paid period ends without renewal, a grace period of three days applies, after which the business returns to the free tier. Your data is kept, but the free-tier limits apply (records above the limit remain, but you cannot add more) and an online storefront is taken offline.
If you change plan before your paid period ends, the unused remainder of that period is forfeited, and you are asked to confirm this before you pay. Fees already paid are non-refundable except where required by law or where we agree otherwise in writing. We may change prices for future periods with reasonable notice; a change does not affect a period you have already paid for. Organisations that need terms beyond the standard plans, such as a multi-site rollout, can agree them with us in writing.
You retain ownership of the inventory records, product data, customer data, images and other content you upload to the Service ("Your Content"). You grant us a limited licence to host, process, back up and display Your Content solely to operate and improve the Service. You are responsible for Your Content and must have the rights needed to upload it. We handle personal data in accordance with our Privacy Policy.

If you enable an online storefront, you are the seller of record for every product listed and are responsible for your product descriptions, pricing, taxes, fulfilment and customer service. Storefront payments are collected through the payment provider you connect (Paystack, Stripe or Flutterwave), using your own account with that provider and subject to its terms. Those payments are separate from the fees you pay Wareflow, which are collected through Flutterwave. We are not a party to transactions between you and your customers.
The Service, including its software, design, logos and trademarks, is owned by Bypenth Technologies Limited and protected by intellectual property laws. These Terms do not grant you any rights in the Service other than the limited right to use it in accordance with these Terms.
We aim to keep the Service available at all times but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue any part of the Service with reasonable notice where practicable. Support is provided by email according to your plan. Capabilities that our roadmap marks as "Rolling out" or "Planned" are not part of the Service until they are released, and we do not promise dates for them.
You can stop using the Service and close your account at any time from Settings, then Account, in the web dashboard. Closing your account archives it and the businesses you own. For 30 days, signing back in restores the account and those businesses. After 30 days the account can no longer be restored and Your Content is permanently deleted, except for records we must or may keep for legal, tax, fraud-prevention or dispute purposes (for example payment and audit records). Businesses you only belong to are not closed when you close your own account.
The Service does not yet have a self-service export. To get a copy of Your Content, email support@wareflowapp.com before you close your account and we will provide an export in a common machine-readable format. After the 30-day window we may no longer be able to provide one.
We may suspend or terminate your access if you breach these Terms or if required by law. On termination, your right to use the Service ends.
The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. You are responsible for verifying the accuracy of inventory, sales and financial figures produced by the Service.
To the fullest extent permitted by law, Bypenth Technologies Limited will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or relating to your use of the Service. Our total liability for all claims relating to the Service will not exceed the amount you paid us in the twelve months before the claim arose.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, notify you by email or within the Service. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising out of these Terms will be subject to the exclusive jurisdiction of the courts of Nigeria.
